STATUTE LAW (MISCELLANEOUS PROVISIONS) ACT NO. 42 OF 2014

An Act to provide for amendments to certain Acts.

Be it enacted by the President and Parliament as follows-

1. Amendment

The following Acts are amended as set out in the Schedule:

(1) Forestry Act [CAP 276];

(2) Incorporated Cell Companies Act No. 25 of 2009;

(3) Employment Act [CAP 160].

2. Repeal of Act

(1) This Act is repealed on the day following the day on which all provisions of this Act have commenced.

(2) The repeal of this Act does not, because of the operation of section 11 of the Interpretation Act [CAP 132], affect any amendments made by this Act.

3. Commencement

This Act commences on the day on which it is published in the Gazette.

SCHEDULE

MINOR AMENDMENTS

1. FORESTRY ACT [CAP 276]

Subsection 47(7)

Repeal the subsection, substitute

“(7) Despite subsection 31(1), the Director may arrange for the auctioning of sandalwood in Vanuatu in accordance with the prescribed requirements”

2. INCORPORATED CELLS COMPANIES ACT NO. 25 OF 2009

(a) Section 2

At the end of the section, insert

“(3) To avoid doubt, an Incorporated Cell Company may be operated:

(a) within Vanuatu; or

(b) outside Vanuatu; or

(c) both within and outside Vanuatu.”

(b) Subsection 12(4)

Repeal the subsection, substitute

“(4) An incorporated cell must have the same registered office as its incorporated cell company.

(5) To avoid doubt, an incorporated cell and its incorporated cell company are not required to have the same persons as directors.”

3. EMPLOYMENT ACT [CAP 160]

(a) Subsection 54(3)

Delete “section 16, Part 3 of Schedule 7 of the Companies Act No. 25 of 2012”, substitute “section 308 of the Companies Act [CAP 191].”
